When a Business Needs a POA

A company POA is required when a business owner or shareholder cannot attend in person to complete corporate formalities. Common situations include trade licence renewal by proxy, company formation where a partner is abroad, handling regulatory requirements with the Department of Economy and Tourism, and delegating signing authority to an employee or representative.

In the UAE, only owners or shareholders listed in the company’s Memorandum of Association can issue a POA on behalf of the business. A manager or director does not automatically have this right unless it is explicitly stated in the MOA or Articles of Association.
